This is an English translation for convenience. If it differs from the Japanese version, the Japanese version prevails.
1. Scope
These terms apply to the use of websites, applications and business support tools provided by Shian Inc., features that connect with Google Drive, Google Sheets and other external services, and related services.
Where a separate contract, application form, purchase order, specification, terms of use or notice in an admin screen exists for a particular service, its provisions may take precedence over these terms.
2. Account management
Users are responsible for properly managing their accounts, credentials, devices and access permissions for our services and for external services.
Actions taken with a user’s account may be treated as actions by that user. Users must contact us promptly if they become aware of unauthorized use or the risk of it.
3. External service integrations
When a user enables an integration with Google Drive, Google Sheets or another external service, that service’s terms, policies and limits apply.
Ownership, storage, sharing settings, access permissions, deletion, restoration, suspension and other management of files created in an external service generally follow the account of the user who ran the integration and the specifications of that service.
Based on a user’s explicit action or permission, our services may create files, enter data or export results in external services. Users should check the target account, save location and sharing scope before connecting.
4. Prohibited conduct
Users must not break the law or public order and morals, infringe the rights of others, enter false information, access systems without authorization, misuse credentials, place excessive load on our services, analyze, alter or interfere with our services, or engage in any other conduct we consider inappropriate.
Users must not use our services or integration features to send spam, publish without permission, obtain data without authorization, impersonate others, or share confidential information inappropriately.
5. Intellectual property
Intellectual property rights in the programs, screens, designs, text, logos, trademarks, know-how, documents and other elements of our services belong to us or their rightful owners.
Rights in data users enter into our services, files they create in external services, and files stored in their Google accounts generally belong to the user or the rightful owner of that data.
6. Disclaimer
We do not guarantee that our services are fit for a particular purpose, accurate, complete or continuously available, or that they will remain compatible with external services.
We are not liable for damage to users caused by changes, failures or limits of external services, account suspension, insufficient storage, sharing settings, user error, network conditions or other causes beyond our control, unless we acted intentionally or with gross negligence.
7. Changes and suspension of services
We may change, suspend or end all or part of our services for maintenance, incident response, security, changes in laws or external service policies, or business needs.
For important changes or termination, we notify users where possible through our website, admin screens, email or other means we consider appropriate.
8. Governing law and jurisdiction
These terms are governed by the laws of Japan. Any dispute concerning our services is subject to the exclusive jurisdiction, in the first instance, of the court with jurisdiction over our head office.
9. Contact
For questions about these terms, our services or external service integrations, contact us through the contact page.
10. Revisions
We may revise these terms in response to changes in laws, our services or external service policies, or operational needs. Revised terms take effect when posted on our website.
